Terms of Service
These Terms of Service (the “Terms”) are an agreement between you and Hil Group (“GemStep”, “we”, “us”), the operator of GemStep. They cover your use of the GemStep website, the GemStep Android app, GEMS rewards and related services (the “Services”). By using the Services you accept these Terms and our Privacy Policy. If you don’t accept them, please don’t use the Services.
1. Who can use GemStep
To use the Services you must:
- be at least 18 years old, or the age of majority where you live if that is higher;
- be able to enter into a binding agreement;
- not be located in, or a resident of, a country or region where using the Services or holding digital tokens is prohibited, and not be named on any sanctions list;
- follow all laws that apply to you.
You are responsible for making sure that using GemStep is lawful where you are.
2. What GemStep does
GemStep rewards daily walking. You connect a step source, and when you reach the daily step goal you can claim a reward in GEMS, a token on the Arbitrum One blockchain.
- Non-custodial. We never hold your wallet, private keys or tokens. Rewards are sent straight to your wallet by the GemStep smart contract.
- Gas-Free claims. Claims are submitted for you by GemStep’s relayer, and we pay the network fee. We may limit, change or pause this, for example when network fees spike.
- Step sources. The Android app reads your step count from Health Connect; the website can use Google Fit. Steps you enter by hand don’t count towards rewards.
3. Your wallet
- You are responsible for your wallet, its private keys or recovery phrase, and any sign-in method you use with it.
- If you lose access to your wallet, we cannot recover it or the tokens in it.
- Blockchain transactions cannot be reversed, and blockchain records are public and permanent.
- Wallets created through third-party sign-in (for example with Google, Apple or email) are provided by thirdweb under its own terms.
4. Rewards
- You can claim once per day (days run on UTC). A claim needs you to reach that day’s step goal, and is limited by the daily and per-claim caps in force at the time.
- Reward amounts are set by the GemStep smart contract and our rules, including the reward rate, reward phases and the share of each reward that goes to you. They can change, for example as the protocol moves between reward phases.
- Steps not claimed by the end of a day cannot be claimed later. The same steps can be claimed only once, through one wallet.
- We may refuse, delay or reverse our support for any claim we reasonably believe is fraudulent or breaks these Terms, and we may withhold future rewards from the wallets involved.
- Rewards depend on third parties (your phone, Health Connect, Google Fit, the blockchain), so we can’t guarantee that every step is recorded, that syncing always works, or that rewards are always available.
5. GEMS tokens are not an investment
- GEMS are reward tokens for using GemStep. They are not shares, securities, deposits or any claim on Hil Group, and they carry no right to profits.
- We make no promise that GEMS will have any value, be tradable, or keep any particular use. Their value, if any, can fall to zero.
- Nothing in the Services is financial, investment, legal or tax advice.
- You are responsible for any taxes that apply to rewards you receive or tokens you hold.
6. Staking and membership
- You can stake GEMS in the GemStep smart contract. Staked GEMS remain yours and can be withdrawn under the contract’s rules.
- Membership levels (Bronze, Silver, Gold, Diamond) and their perks, such as Streak Shields, are GemStep features that we provide off-chain. We may change, add or remove perks, levels and requirements.
- Features marked “coming soon”, such as challenges, are plans rather than promises, and may change or not happen.
- Staking involves smart-contract and blockchain risk (see section 11).
7. Health and safety
- GemStep is a rewards app, not a medical device, and it does not give medical advice. Step counts may be inaccurate.
- Talk to a doctor before starting or increasing physical activity, especially if you have a health condition.
- Walk safely: stay aware of traffic and your surroundings, and don’t use your phone in ways that put you or others at risk. You are responsible for your own safety while being active.
8. What you must not do
You agree not to:
- fake, inflate or tamper with step data, or use devices, apps or scripts that generate steps;
- claim the same steps through more than one wallet, or use multiple wallets to get around limits;
- modify, reverse-engineer or interfere with the app, our servers, the integrity checks or the smart contracts, except as allowed by an open-source licence;
- use the Services to break the law, or to harm or harass anyone;
- overload, disrupt or attack the Services.
9. Suspension and ending
We may suspend or restrict your access, block wallets or devices, or pause features if we reasonably believe you have broken these Terms, or to deal with security, fraud or legal issues. We may change or stop the Services, or any part of them, at any time. You can stop using GemStep whenever you like; to have your off-chain data deleted, see our Privacy Policy. Tokens already in your wallet stay yours.
10. Intellectual property
The GemStep name, logo, app, website and content belong to Hil Group or its licensors. You may use the Services for personal, non-commercial purposes under these Terms. Open-source components and smart contracts are covered by their own licences.
11. Risks you accept
By using GemStep you understand and accept that:
- smart contracts may contain bugs and can be affected by attacks or failures of the blockchain;
- network fees, congestion and outages can delay or prevent claims or withdrawals;
- laws on digital tokens are changing and may affect GemStep, GEMS or your ability to use them;
- third-party services (wallets, Health Connect, Google, hosting) may change, fail or stop.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE GIVE NO WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT STEP COUNTS OR REWARDS WILL BE ACCURATE.
13. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, HIL GROUP WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF TOKENS, PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED USD $100. Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.
14. Indemnity
You agree to cover Hil Group’s losses and reasonable costs arising from your breach of these Terms or your misuse of the Services.
15. Governing law and disputes
These Terms are governed by the laws of Trinidad and Tobago. Please contact us first so we can try to resolve any problem informally. If we can’t, disputes will be decided by the courts of Trinidad and Tobago, unless the law where you live gives you the right to bring a claim in your local courts.
16. Google Play
If you downloaded the app from Google Play, these Terms are between you and Hil Group, not Google, and Google Play’s own terms also apply to your download.
17. Changes to these Terms
We may update these Terms. We will post the new version here with a new date and, for significant changes, tell you in the app or on the website. If you keep using the Services after a change takes effect, you accept the updated Terms.
18. General
- These Terms and the Privacy Policy are the whole agreement between you and us about the Services.
- If any part of these Terms can’t be enforced, the rest still applies.
- If we don’t enforce a right straight away, we can still enforce it later.
- You may not transfer your rights under these Terms; we may transfer ours if GemStep is sold or reorganised.
